Renewal of Authority for Directors to allot shares generally
Resolution 12 will be proposed as an ordinary resolution to give the Directors a general authority, in accordance
with section 551 of the Act, to allot shares. Paragraph (A) of this resolution would give the Directors the authority
to allot ordinary shares or grant rights to subscribe for or convert any securities into ordinary shares up to an
aggregate nominal amount equal to €3,993,320 (representing 79,866,396 ordinary shares of €0.05 each). This
amount represents approximately one-third of the issued ordinary share capital of the Company as at the date of
this document.
In line with guidance issued by the Investment Association, paragraph (B) of this resolution would give the Directors
authority to allot ordinary shares or grant rights to subscribe for or convert any securities into ordinary shares
in connection with a rights issue in favour of ordinary shareholders up to an aggregate nominal amount equal to
€7,986,640 (representing 159,732,792 ordinary shares of €0.05 each), as reduced by the nominal amount of any
shares issued under paragraph (A) of this resolution. This amount (before any reduction) represents approximately
two thirds of the issued ordinary share capital of the Company as at the date of this document.
The authorities sought under paragraphs (A) and (B) of this resolution will expire at the conclusion of next year’s
Annual General Meeting or 15 months after the passing of the resolution (whichever is earlier).
This authority replaces the authority to allot shares generally as given to the Directors at last year’s Annual
General Meeting.
