Corus will have to reconsider Tata offer in case of counter-bid'
(Financial Express Via Thomson Dialog NewsEdge) Corus Group Plc will have to reconsider its decision on Tata Steel's offer to buy Corus at 455 pence per share in case of a counter bid, according to sources close to the deal. Despite repeated questions from the journalists on the counter bids at the recently-held video conference to announce the deal, Jim Leng, chairman of Corus, categorically stated that the Tata offer represented the "right partner, at the right time, at the right price and on the right terms." The Tata offer takes the enterprise value of Corus to $10 billion. While speculations are rife of possible counter bids from companies like Russia's Severstal and Evraz, Brazil's Companhia Siderugica Nacional (CSN) and Germany's ThyssenKrupp, a source close to the deal does not rule out the possibility of a counter bid and says, "If there is counter bid, it could be from CSN. "The Corus board will have to reconsider the offer depending on the premium offered by the counter bid and only if it is an all-cash' deal, sources added. There have been reports in the international media that CSN has appointed Lazard to help it prepare a counter bid for the Tata offer. Interestingly, CSN's earlier attempt to merge Corus with itself was unsuccessful. Besides, Standard Life, the largest shareholder of Corus, had initially expressed its displeasure over Corus board accepting Tata offer. Sources say that Standard Life, which holds 7.9% in Corus, has not completely rejected the Tata offer. Sounding doubtful, an Enam report on Tata Steel which rank the stock as an outperformer says, "While the synergy benefits are visible, it is still too early to evaluate, as the deal is not certain. If the deal materialises, one possibility is that Corus could get iron ore and semi-finished steel linkages, generating potential savings."
