Het aandeel Baan Company NV wordt door nagenoeg niemand meer gevolgd. Echter, het Britse conglomeraat Invensys heeft een onherroepelijke garantie afgegeven aan de aandeelhouders van Baan dat zij een liquidatie-uitkering zullen ontvangen van 2,85 euro. De koers van Baan is hedenochtend 1,80 euro. Een koerswinst van ruim 58 procent wanneer de liquidatie daar is. Zelfs als de feitelijke liquidatie nog enige tijd duurt (is niet waarschijnlijk i.v.m. inmiddels bemoeienis van de VEB!) is er sprake van een bijzonder aardige en m.i. nagenoeg risicoloze belegging. BAANBELEGGERS+KRIJGEN+GELD
Invensys, de Britse opkoper van softwarebedrijf Baan, gaat de resterende aandeelhouders Baan in januari 2010 de langverwachte liquidatie-vergoeding uitkeren. Invensys betaalt aandeelhouders Baan euro 2,85 per aandeel.

Dat maakte Invensys vrijdag bekend.

Invensys kocht in 2000 alle bedrijfsactiviteiten van Baan, na de geruchtmakende ondergang van het softwarebedrijf. Invensys garandeerde alle aandeelhouders Baan een einduitkering van 2,85 euro. Tot nu toe had het bedrijf deze belofte niet wete in te lossen.

Invensys hield vol dat de liquidatie-uitkering zou plaatsvinden als alle juridische procedures over de gang van zaken bij de ondergang van Baan zouden zijn afgerond. Dat moment lijkt nu aangebroken.

Invensys belooft aandeelhouders in januari 2010 over te gaan tot uitkering. Het Britse bedrijf maakt daarbij wel het voorbehoud dat deze uitbetaling geen tegenstand oproept bij de schuldeisers.

Beweging na acht jaar
Bijna acht jaar hebben aandeelhouders moeten wachten op de einduitkering. In juli vroeg de Vereniging van Effectenbezitters Invensys om haast te maken.

Ondertussen heeft het aandeel Baan bijna acht jaar slaapwandelend doorgebracht op de Amsterdamse beurs. Het aandeel is in principe een lege huls waarin alleen de liquidatieclaim van beleggers voor waarde zorgt.

Koers blijft achter
Opvallend genoeg noteert het aandeel Baan nog steeds onder de liquidatieprijs. Afgelopen vrijdag sloot het aandeel op 2,56 euro, bijna dertig cent onder de waarde van een aandeel bij liquidatie. Na acht jaar wachten lijken aandeelhouders nog steeds sceptisch over de uitkering.

Invensys zal beleggers de komende maanden op de hoogte houden van het te volgen traject richting uitkering. Ook de VEB zal dit doen via de ekelijkse nieuwsupdate.

Timing of the liquidation of the Company

The undersigned acting in its capacity of liquidator of Baan Company N.V. in liquidation (the Company) hereby makes the following announcement in relation to the ongoing liquidation of the Company.

The Company currently expects to file the accounts and the plan of distribution (plan van verdeling) relating to the liquidation (vereffening) of the Company with the Dutch Chamber of Commerce prior to October 31, 2009. The filing, when made, will be publicly announced and published in accordance with Section 2:23b of the Dutch Civil Code (Burgerlijk wetboek).

In the absence of objections by creditors the Company expects to terminate the liquidation at the end of 2009 resulting in the final liquidation distribution of € 2.85 per share being made in the course of January 2010.

nee tot op heden niks nada noppens maar wat in het vat zit verzuurd niet en aangezien ik al lang wacht maakt het ook niet meer uit of ik ze deze maand krijg uitgekeerd of niet

Goedemiddag.
Zojuist telefonisch hierover contact opgenomen met de verantwoordelijke man bij Invensys.
Het klopt dat men voornemens was deze maand tot uitkering (Euro 2,85 per aandeel) over te gaan.
Echter, er is een (1) klacht door iemand bij de rechtbank ingediend en daarom bestaat een reeele kans (> 50%) dat we moeten wachten totdat de klacht bij de rechtbank is behandeld.

Is die 'iemand' wellicht ING met haar 5,21% belang? ING betaalde indertijd ca. € 35,00 per aandeel; een enorm verlies zelfs na verrekening van het "belastingvoordeel". Nog in de notering op de lokale markt plm. 0,36%. tT 080210

Zo, dat is lang geleden dat ik hier kwam kijken.
Lees met verbazing dat er wat schot in zit in die 2,85 uitkering.
Ik heb van mijn bank helemaal niets vernomen, komt het omdat het nog steeds niet defintief is??

Ik kreeg een antwoord van de VEB:

De liquidatie van Baan kon geen doorgang vinden omdat er nog een rechtszaak liep. Echter vandaag is er een uitspraak gedaan in deze zaak. De uitspraak is te vinden op de volgende website:

De uitspraak komt er kort gezegd op neer dat er waarschijnlijk tot de liquidatie-uitkering kan worden overgegaan. Het wachten is nu op Invensys, welke naar alle waarschijnlijkheid hierover een persbericht naar buiten zal brengen.

Ziet er dus goed uit.

Volstrekt kansloze zaak voor ING,wat ook wel werd verwacht.
maandagmorgen was er al iemand die met een bestensorder kwam,ik heb hem daar wel mee kunnen helpen tegen €2,80.
Ik heb ze inmiddels weer teruggekocht op €2,72
Ik verwacht dat er dit jaar nog wordt betaald.

Ik verwacht ook snel een bericht van Invensys en uitbetaling dit jaar. Vandaag nog wat bijgekocht op 2,72. Mooie kans in deze slechte tijden.

AMSTERDAM (Belegger.nl) – Er lijkt eindelijk een einde te komen aan het liquidatieproces rond Baan Company. De liquidateur heeft bij de rechtbank toestemming gevraagd een voorlopige uitkering te doen op de aandelen. Dat maakte Invensys, dat Baan in 2000 overnam en zich garant stelde voor de uitbetaling, vandaag bekend.

De hoorzitting wordt gehouden op 6 september in Arnhem. Mocht de rechtbank de toestemming geven dan wil Invensys voor eind oktober 2,50 euro uitkeren. De overige 0,35 euro zal het Invensys uitbetalen als alle juridische procedures definitief achter de rug zijn. Baan staat genoteerd op de lokale markt en wordt vandaag, ongewijzigd, verhandeld voor 2,72 euro.

Status of objection filed with the Arnhem District Court against the report of the liquidator,
the liquidation balance sheet and plan of distribution
The undersigned acting in its capacity of liquidator of Baan Company N.V. in liquidation
(the Company) hereby makes the following announcement in relation to the ongoing
liquidation of the Company.
On 23 August 2010 the Court of Appeal of Arnhem confirmed the decision of 17 March
2010 rendered by the Arnhem Court and rejected the objections that had been filed
against the plan of distribution filed by the liquidator. The objector may still appeal the
decision of the Court of Appeal to the Dutch Supreme Court. The period for filing such
appeal is 3 months.
The liquidator of Baan has filed an application with the Arnhem Court for permission to
make a preliminary distribution to the shareholders of Baan of €2.50 per share
notwithstanding the possibility that the 23 August 2010 decision of the Court of Appeal
could be subjected to review by the Dutch Supreme Court. The hearing on the application
of the liquidator is currently scheduled for 6 September 2010. Assuming the liquidator's
request will be granted, the liquidator would expect to distribute €2.50 per share before
the end of October 2010. The timing of payment of the balance of the liquidation payment
(i.e. €0.35 per share) will depend on whether the decision of the Court of Appeal is
subjected to review and the outcome of that process.

Invensys Administratie B.V., acting as liquidator of Baan Company N.V. (in liquidation) with
registered office at Barneveld, The Netherlands, (the "Liquidator") announces that on 4 October
2010 the District Court of Arnhem has authorized the Liquidator pursuant to Section 2:23b
paragraph 6 of the Dutch Civil Code ("DCC") to make a provisional distribution of € 2.50 per
ordinary share.
The Liquidator resolved to make this interim distribution on 22 October 2010. Dividend
withholding tax of € 0.06 per share will be withheld from the interim distribution, so that
shareholders subject to dividend withholding tax will receive € 2.44 net per share. The record date
for the distribution on Euronext Amsterdam is 8 October 2010 and on Euronext Amsterdam, the
shares will be traded ex the interim distribution as from 6 October 2010.

Shareholders holding their shares through an intermediary in Euroclear Nederland will receive the

Registrar and Dividend Disbursing Agent (“the New York Agent”), which will arrange to convert
the provisional distribution into US dollars for distribution to NYRS holders. The record date for
NYRS's will be 15 October 2010. The US dollar distribution on NYRSs will be made through the
Depository Trust Company (“DTC”) to holders holding NYRSs through a DTC participant.
Registered NYRS holders will receive their payment directly from the New York Agent. Payment
on the NYRS will occur as soon as practicable after October 22, 2010.
From the release of this announcement until 16 October 2010 no conversion will be possible of
NYRSs into shares traded on Euronext Amsterdam nor vice versa.
When the pending litigation relating to the plan of distribution filed by the Liquidator on 26 October
2009 with the Trade Register has been finally resolved, the Liquidator expects to make the final
distribution. After the provisional distribution that is announced hereby, the final distribution will be
€ 0.35 per share. At this point in time it is not known when the Liquidator will be in the position to
make this final distribution. The Liquidator will make a further announcement when the final
distribution will be made. Upon the final distribution the shares of Baan Company N.V. (in
liquidation) will be delisted and the company and its shares will have ceased to exist.

Handel in Baan Company stilgelegd

1Op verzoek van eigenaar Invensys is vanochtend de handel in het aandeel Baan Company stilgelegd. Het roemruchte softwarebedrijf van de gebroeders Baan heeft nog altijd een notering aan de lokale markt van het Damrak.
