EarthLink is investing $50 million in San Jose-based Covad, maker of a technology that allows people to make Internet phone calls from traditional phones without any extra devices, the companies announced Thursday.
The investment will allow EarthLink to offer Covad's phone service to cities beyond the Bay Area, such as Atlanta, Chicago, Los Angeles, Miami, New York City, Philadelphia, San Diego and Washington, D.C. Last month, EarthLink launched the service in Dallas, San Francisco, San Jose and Seattle.
With many Internet phone-calling services, the customer needs to plug his or her phone into an adapter that connects to an Internet connection such as a cable modem or DSL.
The Covad technology, known as line-powered voice, allows a customer to plug his phone into a phone jack, and Covad connects the call to the Internet at a nearby ``base station,'' said Chris Dunn, Covad's chief financial officer. This also means that if a home's power goes out, the phone service will still work, as long as the base station is not affected by the outage.
EarthLink offers line-powered voice as part of a DSL Internet access and home-phone service bundle starting at $50 amonth. All bundles include voice mail, caller ID and three-way calling. Higher-priced versions offer unlimited local and long-distance calling as well as Internet data-transfer speeds of up to 8 megabits per second, roughly five times the speed of traditional DSL.
Although the phone service aspect of the bundle does not require any extra equipment, the DSL service that comes with the package still requires a customer to use a modem. Because the modem is electrically powered, a power outage would cut off Internet access.
During the 1990s, Covad sold DSL Internet access directly to consumers, but now focuses on selling DSL and Internet phone services to businesses as well as selling technology to companies such as EarthLink, which then resell those technologies under their own names. Covad came out of bankruptcy in 2001. Its stock closed at $1.67 Thursday, giving it a market capitalization of $448 million.

Qwest CEO Richard Notebaert may prove to be prophetic, as EarthLink announced a $50 million debt/equity deal to finance Covad's broadband buildout in eight cities. Earthlink will receive $10 million in common stock and $40 million in convertible debit due in 2011.

Covad will extend its line-powered voice access service to Atlanta, Chicago, Los Angeles, Miami, New York City, Philadelphia, San Diego, and Washington D.C., taking advantage of next-generation DSLAM technology to offer higher-speed broadband access along with metro Ethernet and bonded T1 services. EarthLink will use the new network buildouts to provide DSL and phone service as an alternative to the incumbent carriers. Like traditional phone services, the EarthLink phone service will operate during a power outage, support enhanced 911 calling and offer custom calling features.

Speaking before an audience at VON Spring on March 15, Notebaert suggested that commercial solutions between content providers and carriers were already in the works, but it is more likely he and other Big Bells would prefer a traditional pay-for-services contract rather than offer a mixed stock/debt deal.

EarthLink is turning into quite the network builder. The company is in the process of building and bidding on several municipal Wi-Fi projects, an activity that along with the Covad deal is likely to cause some irritation at the Big Bells.

NEW YORK (MarketWatch) -- SBA Communications Corp. (SBAC) Friday agreed to acquire AAT Communications Corp. for roughly $1 billion in cash and stock. The consideration consists of $634 million in cash and the issuance of 17.06 million SBA common shares. Boca Raton, Fla.-based SBA expects the deal to close in the second quarter. In conjunction with the deal, SBA plans to start a tender offer for its remaining 9 3/4% senior discount notes and 8 1/2% senior notes. SBA anticipates the transaction will be immediately accretive on the basis of tower cash flow, adjusted EBITDA (earnings before interest, taxes, depreciation and amortization) and equity free cash flow per share. SBA said AAT posted site leasing revenue of $83.3 million and tower cash flow of $56.1 million for the fiscal year ended Dec. 31. AAT is the fifth largest independent wireless communications tower operator in the U.S. with 1,855 owned tower sites and an additional 250 revenue-producing managed sites located in 44 states, SBA said. The company also gave a pro forma outlook for fiscal 2006 for total revenue of $355.5 million and $381.5 million. The pro forma estimate assumes closing of the AAT deal as of January 1.

Additional Partners Could Represent Additional Upside of $0.50 per ISP. We believe that DVW's line powered voice solution could be attractive to other ISPs who are looking to offer high speed internet access as dial-up subscribers continue to churn off. The addition of another ISP would
represent upside to our price target which only models out the 14 million homes to be covered in
the 11 ELNK markets to be launched. The ELNK agreement adds $0.50 to our price target and we
believe additional deals with ISPs could add the same or more per ISP.

* New ELNK Markets adds an additional 12 mm Homes Passed. The agreement with ELNK increases the
number of homes passed to 14 million from 2 million while increasing the COs from 133 to 758
(+625) to support the ELNK launch. The build out should be completed by year end and ELNK has stated
that they expect to achieve a 3% penetration within 18 months. The cost of the build out is $50
million. We expect LA and NY to be the first markets launched during 3Q06.
