KPN Foundation Expresses Concern Over America Movil Takeover Bid

Royal KPN NV (KPN)’s independent foundation said it’s concerned about America Movil SAB’s $9.6 billion takeover offer, complicating billionaire Carlos Slim’s attempt to gain control of the Dutch phone company.
“There is considerable uncertainty about America Movil’s intentions,” including whether Slim’s company favors a separate deal KPN has reached with Telefonica SA (TEF), the foundation said today in a statement. The foundation is evaluating America Movil’s offer, it said. The group is charged with defending KPN “from the influences that may threaten the continuity, independence and identity” of the company, according to KPN filings.
America Movil is offering 2.40 euros a share to boost its 30 percent stake in KPN to a majority holding. Slim aims to use The Hague-based KPN to enter the European market, expanding beyond Latin America, where America Movil is the biggest mobile-phone company.
If the foundation’s board sees a threat, it may invoke an option to acquire from KPN Class B preference stock, which carries voting rights, not exceeding the total issue of ordinary shares, minus one share.
According to KPN filings, the independent foundation’s policy is to only exercise its voting rights for a limited period to give it time to determine its position on pivotal decisions for the company.
Slim’s offer came after KPN agreed to a separate 8.1 billion-euro ($10.7 billion) deal to sell its German unit to Telefonica. Mexico City-based America Movil hasn’t decided on whether to support the Telefonica deal.
Higher Bid?
The foundation’s position may put pressure on Slim to raise his bid. Moody’s Investors Service and Fitch Ratings have already said they may lower America Movil’s debt rating depending on the outcome of the transaction.
America Movil has financing plans to complete the KPN offer without a credit-rating downgrade even if every shareholder accepts its offer, Chief Financial Officer Carlos Garcia-Moreno said yesterday in an interview.
Slim had moved on KPN as he seeks leverage to get a higher price for E-Plus or to block the deal, two people familiar with the billionaire’s plans said, asking not to be identified as the discussions are confidential. The next step may be renegotiating the terms with Telefonica, one of the people said.
KPN would get 5 billion euros in cash and a 17.6 percent in the entity created from the combination of E-Plus and Telefonica Deutschland Holding AG. (O2D)

Klinkt goed, als telefonica nu met een beter bod komt, en slim gaat accoord, dan zitten we met kpn op rozen. Schuld weg en genoeg geld om te investeren! Laat kpn voorlopig maar ven zelfstandig.

KPN wil waarschijnlijk alleen met American Movil praten als er een kans is op een hoger bod.

Adam Hogge, of Olivetree Financial, said: “The timing of this move shows the ‘stichting’ foundation is indeed trigger happy; Slim’s original statement was deliberately benign to avoid generating such a response.
“The specific reference to E-Plus in the statement likely indicates they: 1) are willing to enact the pill; 2) don’t want Slim to threaten either the E-Plus deal or make a full offer for KPN.”

Als het bod hoog genoeg is, dan heeft de Stichting niets te willen.
Dus Carlos Slim krijgt alleen goedkeuring als hij met een Knock-Out bod komt.

DUESSELDORF, Germany (Reuters) - A German court threw in doubt Liberty Global's completed 3 billion euro ($4 billion) purchase of KabelBW after reversing a 2011 antitrust approval, deepening uncertainties in a rapidly changing telecoms sector.
A regional court in Duesseldorf on Wednesday ruled that the cartel office must re-examine the case to either block it or force the firms to offer more concessions to protect competition in the cable television market.
The ruling, which ultimately could lead to the unwinding of a merger that bolstered Germany's second-largest cable operator UnityMedia in 2012, comes during sweeping competitive changes in the German telecom market where more large deals are pending.
Vodafone in June agreed to buy Germany's largest cable group Kabel Deutschland for 7.7 billion euros and Dutch telecoms group KPN last month agreed to sell its German unit to Telefonica for 8.1 billion euros.
The cartel office had approved the acquisition at the end of 2011 only after imposing far-reaching conditions because Liberty already owned Germany's second-largest cable operator UnityMedia, which then absorbed KabelBW.
Germany's biggest telecoms group Deutsche Telekom challenged the approval and the court already voiced concerns over the deal in a June hearing.

Vodafone en Deutsche Telekom hebben liever Telefonica als concurrent dan America Movil.

KPN and América Móvil are still discussing the Mexican group’s €2.40 a share bid for the more than 70 per cent it does not already own.
However, there has been concern from some investors over whether América Móvil’s bid threatens KPN’s deal to sell off E-Plus, its prized German business, to Spain’s Telefónica for €8.1bn. Mr Slim is pushing for a higher price from the Spanish group.
A statement by KPN’s board on América Móvil’s bid is likely to be published before the Dutch group’s shareholders meet to vote on the sale of E-Plus in two weeks, said one person. KPN’s shareholders would then meet again to vote on the bid from Mr Slim’s group.
América Móvil would prefer to retain the German telecoms business, though it was willing to support a sale should Telefónica raise its price sufficiently, said the person familiar with the situation. However, with the Spanish telecoms group so far saying that its offer is “definitive”, there is still a strong chance that the Mexican group could oppose the sale.
“América Móvil have to make their strategic intentions clear, and they have to do it in a timely manner, not at or just before the shareholders’ meeting,” said Walter Samuels, spokesman for the KPN Foundation. He added that if América Móvil was not willing to honour pension agreements that would also be viewed negatively.

Koers kpn vandaag 2,20 waarom? omdat we achter de jappen en de yanks aanlopen de ontwikkeling van de vooruitgang in de onderhandelingen tellen dan niet meer mee,we doen maar wat.
Als de yanks vanmiddag openen dan is alles weer anders en kan de boel up of down gaan want daar leiden we onze koersen op af,en kijken niet verder naar bedrijven en ondernemingen.

Afgelopen week ging het geld uit Amerikaanse aandelen naar Chinese en Europese aandelen.

Daarom blijft de AEX oplopen.

Alle telecoms zijn vandaag negatief gesloten, behalve America Movil.
America Movil steeg 4 dagen (5/8-8/8) voor het bod op KPN (om de daling op te vangen).
