If Sanofi-Aventis makes an offer to acquire Bristol-Myers Squibb, the French pharmaceutical company's two major shareholders will have a lot to say about it.
The cosmetics giant L'Oreal and oil company Total own 22.9 percent of the Paris-based company's shares and an whopping 38.9 percent of its voting rights.
That means they would have a voice, if not the final word, on a takeout of Bristol-Myers.
And therein lies the problem, according to Deutsche Bank.
A merger would dilute the holdings of L'Oreal and Total the same way the successful offer for Aventis in 2003 reduced their voting rights from 63 percent to the current level, according to Sanofi's most recent proxy statement.
L'Oreal and Total, according to Deutsche Bank, have announced their plans to sell their shares in Sanofi. But a merger would make them more difficult to sell, the investment banker said in a client note.
"Despite the accretive nature of an acquisition of Bristol-Myers Squibb, we would not be surprised if L'Oreal and/or Total attempted to block such a transaction," Deutsche Bank said.
